DiSalvo<\/em><\/a><\/p>\n<p>On November 15, 2024, U.S. District Judge Sean D. Jordan of the Eastern District of Texas vacated the Biden Administration\u2019s overtime exemption rule.\u00a0 The <a href=\"https:\/\/employerdefensereport.com\/2024\/04\/25\/dol-finalizes-overtime-rule-significantly-increasing-salary-level-basis-threshold-for-flsa-overtime-exemptions\/#more-7556\">final rule<\/a>, which went into effect on July 1, 2024, included a biphasic approach to raising the executive, administrative, and professional<a href=\"http:\/\/employerdefensereport.connmaciel.stagingarea.org\/wp-content\/uploads\/sites\/2\/2024\/11\/AdobeStock_210886934.jpeg\"><img loading=\"lazy\" decoding=\"async\" title=\"Adobestock 210886934 300x200\" class=\" wp-image-8040 alignright\" src=\"http:\/\/employerdefensereport.connmaciel.stagingarea.org\/wp-content\/uploads\/sites\/2\/2024\/11\/AdobeStock_210886934-300x200.jpeg\" alt=\"Adobestock 210886934 300x200\" width=\"440\" height=\"293\" srcset=\"https:\/\/www.connmaciel.com\/employer-defense-report\/wp-content\/uploads\/sites\/2\/2024\/11\/AdobeStock_210886934-300x200.jpeg 300w, https:\/\/www.connmaciel.com\/employer-defense-report\/wp-content\/uploads\/sites\/2\/2024\/11\/AdobeStock_210886934-1024x683.jpeg 1024w, https:\/\/www.connmaciel.com\/employer-defense-report\/wp-content\/uploads\/sites\/2\/2024\/11\/AdobeStock_210886934-768x512.jpeg 768w, https:\/\/www.connmaciel.com\/employer-defense-report\/wp-content\/uploads\/sites\/2\/2024\/11\/AdobeStock_210886934-1536x1024.jpeg 1536w, https:\/\/www.connmaciel.com\/employer-defense-report\/wp-content\/uploads\/sites\/2\/2024\/11\/AdobeStock_210886934-2048x1365.jpeg 2048w, https:\/\/www.connmaciel.com\/employer-defense-report\/wp-content\/uploads\/sites\/2\/2024\/11\/AdobeStock_210886934-480x320.jpeg 480w, https:\/\/www.connmaciel.com\/employer-defense-report\/wp-content\/uploads\/sites\/2\/2024\/11\/AdobeStock_210886934-825x550.jpeg 825w, https:\/\/www.connmaciel.com\/employer-defense-report\/wp-content\/uploads\/sites\/2\/2024\/11\/AdobeStock_210886934-874x582.jpeg 874w, https:\/\/www.connmaciel.com\/employer-defense-report\/wp-content\/uploads\/sites\/2\/2024\/11\/AdobeStock_210886934-1680x1120.jpeg 1680w\" sizes=\"(max-width: 440px) 100vw, 440px\" \/><\/a> (\u201cEAP\u201d) OT exemption salary thresholds.\u00a0 The threshold moved to $844 per week, or $43,888 annually on July 1, and would have escalated to $1,128 per week, or $58,656 annually, on January 1, 2025.\u00a0 The rule also included automatic triennial updates to the threshold.\u00a0 But as President Trump readies to <a href=\"https:\/\/employerdefensereport.com\/2024\/11\/13\/trump-2-0-u-s-dol-wage-and-hour-division-priorities-rulemaking-rollbacks-and-a-reduced-focus-on-vulnerable-workers\/\">return<\/a> to the White House, the salary threshold for EAP exemptions under the FLSA now reverts to $35,568, the level set during his first term.<a href=\"#_ftn1\" name=\"_ftnref1\"> [1]<\/a><\/p>\n<p><strong><u>Judge Jordan\u2019s Memorandum Opinion and Order<\/u><\/strong><\/p>\n<p>Explaining a court\u2019s role in the context of <em>Loper Bright Enters. v. Raimondo, <\/em>Judge Jordan vacated the rule as an unlawful agency action exceeding departmental authority under the Administrative Procedure Act and remanded it to the U.S. Department of Labor (\u201cDOL\u201d).\u00a0 He provided an extensive treatment of the salary threshold\u2019s history, noting<\/p>\n<blockquote><p>the fundamental aspects of the salary-level test have included setting low minimum salary levels designed to exclude only obviously nonexempt employees, premised on wage-data for the lowest-wage region, the smallest-size business establishment group, the smallest-size city group, and the lowest-wage industry, applied by the Department in a manner consistent with serving only the purpose of separating exempt from nonexempt employees, not improving the status of such employees<\/p><\/blockquote>\n<p><em>Texas v. DOL<\/em>, 4:24-CV-499, 4:24-CV-468, slip op. at 14 (Nov. 15, 2024, E.D. Tex).\u00a0 He also explored the recent U.S. Court of Appeals for the Fifth Circuit decision in <em>Mayfield v. DOL<\/em>, which was issued in response to a legal challenge to the 2019 DOL Final Rule that increased the minimum salary requirement for the EAP exemption from overtime, and held that:<\/p>\n<blockquote><p>[u]sing salary as a proxy for EAP status is a permissible choice because, as we have explained, the link between the job duties identified and salary is strong. \u00a0That does not mean, however, that use of a proxy characteristic will always be a permissible exercise of the power to define and delimit. \u00a0If the proxy characteristic frequently yields different results than the characteristic Congress initially chose, then use of the proxy is not so much defining and delimiting the original statutory terms as replacing them.<\/p><\/blockquote>\n<p>117 F.4th 611, 619 (5th Cir. 2024).\u00a0 The Fifth Circuit\u2019s <em>Mayfield<\/em> opinion concerned the Trump era overtime rule, so it did not address the new Biden Administration thresholds.\u00a0 Judge Jordan\u2019s opinion took the next step, applying the Court of Appeals\u2019 rationale to invalidate President Biden\u2019s thresholds.\u00a0 His analysis considered three limitations on the DOL\u2019s congressionally-delegated authority to define and delimit the EAP exemptions:<!--more--><\/p>\n<ul>\n<li>The terms capacity, executive, administrative, and professional all relate to an employee\u2019s functions or duties. The meaning of these terms \u201cguides and limits [the Department\u2019s] power to \u2018define[] and delimit[]\u2019 them.\u201d <em>Mayfield<\/em>, 117 F.4th at 621. \u00a0Thus, the Department \u201ccannot enact rules that replace or swallow the meaning those terms have.\u201d<\/li>\n<li>The term \u201cbona fide\u201d allows the Department to use a minimum salary level but only if that salary serves as a reasonable proxy for an employee\u2019s exemption status.<\/li>\n<li>The Department must define and delimit the EAP Exemption through active rulemaking by passing regulations that comply with the APA.<\/li>\n<\/ul>\n<p><em>Texas v. DOL<\/em>, slip op. at 37-38.\u00a0 Judge Jordan repeatedly referenced the similarities between President Biden\u2019s EAP rule and the Obama Administration\u2019s overturned 2016 rule, suggesting that both regulations \u201ccontemplate[d] sweeping changes to the EAP Exemption\u2019s regulatory framework, designed on their face to effectively displace the FLSA\u2019s duties test with a predominate\u2014if not exclusive\u2014salary-level test.\u201d\u00a0 <em>Id. <\/em>at 38.\u00a0 The DOL\u2019s \u201cchanges make salary predominate over duties,\u201d a choice that \u201cexceed[s] the Department\u2019s authority to define and delimit the relevant terms\u201d under the FLSA.\u00a0 <em>Id. <\/em>at 39.<\/p>\n<p>The rules also \u201cattempt to dramatically increase the minimum salary level\u201d and \u201cto install a mechanism that automatically updates the minimum salary requirements to even higher levels every three years.\u201d\u00a0 <em>Id.<\/em>\u00a0 Judge Jordan found the mechanism \u201cuntethered to the operative terms of the EAP Exemption that concern an employee\u2019s job duties and functions, which Congress plainly intended to serve as the guiding principle for updating the EAP Exemption.\u201d\u00a0 <em>Id. <\/em>at 52.\u00a0 Such a provision, the Judge held, \u201calso violates the notice-and-comment rulemaking requirements of the APA.\u201d\u00a0 <em>Id. <\/em>at 55.\u00a0 Evincing a particular dislike for this regulatory requirement, Judge Jordan pointedly opined that:<\/p>\n<blockquote><p>the Department endorses the Automatic Indexing Mechanism based on its conclusions that: (1) it hasn\u2019t done a bang-up job administering the EAP Exemption over the years; (2) its sporadic regulation has been driven by the difficulty of its task; so (3) the best way forward is to abdicate from more frequent and thorough rulemaking efforts by placing the regulation of the EAP Exemption on autopilot through the Automatic Indexing Mechanism. While this may be a satisfying solution for the Department, it is unlawful under the APA.<\/p><\/blockquote>\n<p><em>Id. <\/em>at 57.\u00a0 The Judge pointed to DOL\u2019s own 2019 rulemaking for further support that such dramatic changes, like those in the 2016 rule, were \u201cin tension with the [FLSA] and with the Department\u2019s longstanding policy of setting a salary level that does not \u2018disqualify[] any substantial number of\u2019 bona fide executive, administrative, and professional employees from exemption.\u201d\u00a0 84 Fed. Reg. 51238; <em>see also Texas v. DOL <\/em>at 20.<\/p>\n<p>In sum, Judge Jordan concluded that the Biden DOL\u2019s EAP salary thresholds did not serve as a reasonable proxy to inform overtime exemption status under the FLSA because the thresholds were set so high they became determinative, rather than serving their acceptable gatekeeping function.<\/p>\n<p><strong><u>Effects on Employers<\/u><\/strong><\/p>\n<p>Employers no longer face the January 1, 2025 salary threshold increase memorialized in the Biden Administration\u2019s vacated rule.\u00a0 But open questions remain regarding how to respond to Judge Jordan\u2019s ruling.<\/p>\n<p>First, employers who complied with the July 1, 2024, threshold updates must determine whether to keep changes to pay and worker classification in place or return to the pre-July 1 status quo.\u00a0 These considerations go beyond legal compliance requirements and will impact employee relations, including employee morale.\u00a0 Whatever decisions companies make should be thoroughly evaluated and clearly communicated.<\/p>\n<p>Second, employers who exhausted significant resources to prepare to comply with the January 1, 2025, threshold updates should evaluate whether to move forward with additional changes to pay and\/or worker classification.\u00a0 While such changes are no longer required, some employers may determine they are nonetheless warranted, based on effort and time already expended.<\/p>\n<p>Third, employers should keep an eye on this space for further developments as the second Trump Administration\u2019s priorities take shape.\u00a0 Presumably, there is room for movement between the 2020 EAP threshold and the now vacated 2024\/2025 numbers.\u00a0 It is possible, President Trump\u2019s DOL could revisit overtime exemption rulemaking \u2013 he has expressed interest in other overtime-related changes, e.g., making overtime pay tax free \u2013 so we will continue to monitor and counsel on developments in this area.<\/p>\n<p>Please connect with the authors or your friendly neighborhood Conn Maciel Carey attorney for further information about these and other <a href=\"https:\/\/www.connmaciel.com\/labor-and-employment\">labor &amp; employment<\/a> issues.<\/p>\n<p><em>Footnotes:<br \/>\n<\/em><a href=\"#_ftnref1\" target=\"_blank\" rel=\"noopener\" name=\"_ftn1\"><\/a><a href=\"#_ftnref1\" name=\"_ftn1\">[1]<\/a> Judge Jordan acknowledges that<\/p>\n<blockquote><p>[l]ike the parties, the Court primarily discusses the 2024 Rule\u2019s changes to the standard salary level\u2014not the [Highly Compensated Employee (\u201cHCE\u201d)] level. \u00a0However, the increases to the HCE salary level likewise change the exemption statuses of millions of employees. \u00a0The Court\u2019s analysis regarding the legality of the changes to the standard salary level applies equally to the Department\u2019s changes to the HCE level.<\/p><\/blockquote>\n<p>As the Judge vacated the Biden DOL\u2019s rule, we can expect the HCE threshold to revert to its 2020 level \u2013 $107,432 \u2013 as well.\u00a0 <em>Texas v.
